Terms of Use.

The terms on which you use this platform's pages, links, proposals, memoranda, data rooms, agreements, offer forms and portals.

Version 18 October 2026

Your links are personal

Proposals, memoranda, data rooms, questionnaires, agreements, offer forms, client portals and market updates are reached by unique links sent to you. Keep them to yourself. Do not forward a link that shows another person's or another business's information. We may require a one-time code on a new device and may disable a link that appears to be shared.

Confidentiality

A teaser, information memorandum, data room or any other material about a business for sale is confidential. It is released to you under the confidentiality agreement you sign and only for the purpose of considering that business. You must not copy, forward, publish or use it for any other purpose, contact the business's staff, customers, suppliers or landlord without the broker, or disclose that the business is for sale. Access is logged and downloads are watermarked; we may withdraw access at any time.

Appraisals, valuations and estimates

A business appraisal or indicative assessment of value is the broker's opinion, formed from the information provided and the market evidence available at the date shown, and is not a guarantee of a sale price. A formal valuation is issued only as a signed report under its own engagement terms. Market data, market signals, forecasts, borrowing-power and scenario tools are indicative, depend on their inputs and assumptions, and are not financial, legal, tax or investment advice. Obtain your own advice before acting.

Engagement agreements and electronic signing

Where you accept a proposal and sign an engagement, confidentiality or other agreement electronically, you consent to electronic signing under the Electronic Transactions Act 1999 (Cth) and the corresponding State and Territory Acts. You will receive the executed document by email. Statutory cooling-off rights and the right to seek independent advice before signing are not affected. A draft marked as not yet approved is for review only.

Offers and heads of agreement

An offer or heads of agreement submitted through the platform is an expression of your offer and its proposed terms. Apart from any confidentiality, exclusivity and costs provisions it expressly makes binding, it is not a binding contract for the sale of the business. A sale occurs only when a contract of sale is signed by both parties and its conditions are met. Contract milestones and reminders shown on the platform are a courtesy and do not alter the dates in a contract or any party's obligations.

Accounting connections

Where you connect your accounting system, you authorise LINK to read the data you select for the purpose of the engagement. We do not write to your system. You may disconnect at any time from the connection page or by asking the office, after which no further data is read.

Acceptable use

You must give accurate information, use the platform only for your own engagement, and not interfere with it, attempt to access another person's pages, extract data by automated means, or impersonate anyone. Brokers and staff use the portal under their engagement or employment terms and LINK's policies.

Availability and changes

We may change, suspend or withdraw any part of the platform. Links expire when the engagement ends or earlier when we say so. We aim for continuous availability but do not guarantee it.

Liability

Nothing in these terms excludes any guarantee, right or remedy that cannot be excluded under the Australian Consumer Law. Subject to that, we are not liable for loss arising from your reliance on an appraisal, estimate, market data, buyer brief or automated message, from the acts of another party to a transaction, or from your sharing of a link or code.

Governing law

These terms are governed by the laws of Victoria, Australia, and the agents legislation of the State or Territory of the office responsible for your engagement applies to that engagement.
